NearNow — Terms of Service

1. Welcome to NearNow

Welcome to NearNow (“NearNow,” “we,” “our,” or “us”). NearNow is a platform designed to help adults discover and participate in real-world, in-person experiences, gatherings, and community moments happening nearby.

These Terms of Service (“Terms”) govern your access to and use of the NearNow website, mobile applications, and services (collectively, the “Platform”). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 21 years old to create an account, host events, or participate in events on NearNow.

By using the Platform, you represent and warrant that:

•         You are at least 21 years of age;

•         You are legally capable of entering into binding agreements;

•         You will comply with all applicable laws; and

•         All information you provide is accurate and truthful.

NearNow may suspend or permanently delete accounts of users believed to be under 21. We reserve the right to require age verification at any time.

3. Nature of the Platform

NearNow is a discovery and marketplace platform that connects users with hosts and real-world experiences.

NearNow does not organize, supervise, control, or guarantee the quality, safety, legality, or suitability of any events. Hosts and attendees are solely responsible for their conduct, safety, and compliance with all laws.

4. User Accounts & Reliability Rating

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

NearNow uses a reliability rating system to help build trust in the community. You agree to participate honestly in this system and not to manipulate ratings, reviews, scores, or other trust signals.

5. Community Guidelines & Acceptable Use

You agree to abide by our Community Guidelines, which are incorporated into these Terms by reference.

Prohibited conduct includes, without limitation: harassment, hate speech, discrimination, illegal activity, fraud, impersonation, posting content you do not have the right to use, and creating unsafe or deceptive events.

We may remove content, suspend or terminate accounts, or cancel events at our sole discretion to protect the community or the Platform.

6. Events and Participation

Attending events carries inherent risks, including personal injury, property damage, illness, and interactions with strangers. You voluntarily assume all risks associated with attending any event discovered through or facilitated by NearNow.

You are solely responsible for your own safety, transportation, and decisions about whether to attend an event.

7. Host Responsibilities

Hosts are fully responsible for:

•         Accurate and non-misleading event descriptions;

•         Obtaining all necessary permits, licenses, and insurance;

•         Maintaining a reasonably safe environment;

•         Complying with all applicable laws (including alcohol, capacity, and age restrictions); and

•         Honoring their commitments to attendees.

Hosts may not misrepresent events or use the Platform for illegal or unsafe activities.

8. Payments, Fees, and Cancellations

When paid events are enabled, NearNow charges a service fee on ticket sales. The applicable take rate and any founding-host adjustments are disclosed in the Platform at the time of the transaction. Hosts receive the remaining balance after the platform fee and any processing costs that are passed through to the attendee.

Cancellation & Refund Policy. Subject to host discretion and any event-specific rules:

•         Cancellations made more than forty-eight (48) hours before the event start time are generally eligible for a full refund, minus applicable payment-processing fees.

•         Cancellations made within forty-eight (48) hours of the event start time are generally non-refundable.

•         NearNow may, but is not obligated to, assist in disputes between hosts and attendees and is not required to issue refunds on behalf of hosts.

All payments are processed by third-party payment providers (for example, Stripe). Your use of those services is also subject to the provider’s own terms.

9. User Content

You may submit, upload, post, or otherwise make available content on the Platform, including text, photographs, images, event descriptions, and other materials (collectively, “User Content”).

9.1 Ownership and License

You retain all ownership rights in your User Content that you already own. By submitting User Content, you grant NearNow a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, cache, display, reproduce, distribute, modify (solely for formatting or technical compatibility), and otherwise use that User Content solely in connection with operating, promoting, securing, and improving the Platform and the events associated with it.

This license continues for a reasonable period after you delete your account or remove the User Content, solely to the extent necessary so that existing event pages, attendee records, and historical Platform displays remain functional and coherent for other users. NearNow will not use your User Content for unrelated commercial purposes outside the Platform.

9.2 Representations and Warranties

You represent and warrant that:

•         You own or have obtained all rights, licenses, consents, and permissions necessary to submit the User Content and to grant the license in Section 9.1;

•         The User Content does not infringe, misappropriate, or violate any third-party intellectual-property, privacy, publicity, or other rights;

•         The User Content is lawful and does not contain material that is illegal, harmful, defamatory, or otherwise prohibited under these Terms or applicable law; and

•         You have the legal capacity and authority to make these representations.

When you upload an image, the Platform will require you to confirm, via an in-product attestation, that you have the right to use that image. That attestation is incorporated into these Terms and forms part of your binding agreement with NearNow.

9.3 Indemnification for User Content

You agree to indemnify, defend, and hold harmless NearNow and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your User Content, (b) your breach of the representations and warranties in this Section 9, or (c) any claim that your User Content infringes or misappropriates the rights of a third party.

9.4 Copyright Complaints — DMCA

NearNow respects the intellectual-property rights of others and expects users to do the same. If you believe that any content on the Platform infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated DMCA agent. The name and contact information of the designated agent, together with the full notice-and-takedown procedure, will be published on the Platform or at a clearly linked help page.

Upon receipt of a valid DMCA notice, NearNow will act expeditiously to remove or disable access to the allegedly infringing material and will take reasonable steps to notify the user who posted it. NearNow maintains a policy of terminating, in appropriate circumstances, the accounts of users who are determined to be repeat infringers.

9.5 Moderation and Removal

NearNow may, but is not obligated to, monitor, review, scan, or moderate User Content. We reserve the right, at our sole discretion and without prior notice, to remove, disable, or restrict any User Content that we believe violates these Terms, our Community Guidelines, or applicable law, or that otherwise poses a risk to the Platform, other users, or third parties.

10. Intellectual Property

All NearNow branding, logos, software, designs, interfaces, and other materials created by or for NearNow are owned by NearNow or its licensors. You may not copy, modify, distribute, reverse-engineer, or otherwise misuse them without prior written permission from NearNow.

11. Privacy & Location Data

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By enabling location services, you consent to the collection and use of location data for discovery, matching, safety, and related Platform features. Certain profile and identity information that you choose to make public is also governed by the Privacy Policy.

12. Safety Disclaimer

NearNow performs limited moderation and does not conduct background checks on users. We cannot and do not guarantee the identity, conduct, or suitability of any host or attendee. You are solely responsible for exercising caution and good judgment. In an emergency, contact local law-enforcement or emergency services.

13. Limitation of Liability & Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, NEARNOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEARNOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEARNOW’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE TOTAL AMOUNTS YOU PAID TO NEARNOW IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless NearNow and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your events or participation in events; (c) your User Content; (d) your violation of these Terms or applicable law; or (e) your violation of any third-party right.

15. Governing Law & Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and you hereby consent to personal jurisdiction and venue in those courts.

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will provide notice through the Platform or by other reasonable means and will update the “Last Updated” date. Your continued use of the Platform after the changes become effective constitutes your acceptance of the revised Terms.
